Crypto company setup Dubai: the UK tax exit and VARA

By Alan Underwood Founder of Dubai Transition Consultants. Moved himself and his businesses from the UK to the UAE. Last reviewed 28 October 2026 · 3 min read
In shortA crypto company setup in Dubai is two separate jobs. The first is leaving UK tax residence cleanly, because there is no UK exit tax but gains can be pulled back if you return within five years. The second is deciding whether you need a VARA licence, which depends on whether you provide services to others or simply trade and hold your own assets.

What does a crypto company setup in Dubai actually involve?

Two tracks run in parallel, and people routinely sort the second before the first.

The UK track is about ceasing to be UK resident and not leaving a tax bill behind you. The Dubai track is about whether your activity is regulated, and which company structure fits it. A personal portfolio, a trading business and a platform serving clients are three different answers.

Is there a UK exit tax on crypto?

No. Leaving the UK does not trigger a deemed disposal of your tokens, and there is no tax on unrealised gains. We cover the three things that behave like one in our UK exit tax guide.

HMRC treats cryptoassets as chargeable assets for capital gains tax, as its cryptoasset guidance sets out. As at October 2026, individuals pay 18% within the basic-rate band and 24% above it (GOV.UK), ahead of the Autumn Budget on 28 October. Once you are non-resident, disposals of crypto are outside UK capital gains tax. The catch is the next section.

What is the five-year catch for crypto holders?

The temporary non-residence rule. If you were UK resident for four of the seven tax years before leaving and your absence lasts five years or less, gains on assets you owned before departure and sold while away are taxed in the year you return. Crypto is caught. The full mechanics are in our temporary non-residence guide.

This changes the planning question. If a return is plausible, selling in Dubai in year two does not necessarily save anything. If you are leaving for good, it does.

Three other points trip up crypto people specifically:

  • Residence comes first. Nothing above helps until you have passed the Statutory Residence Test for the year, and a heavy-travelling trader is exactly who the day-count traps catch.
  • Income is different from gains. Staking rewards, mining, airdrops and genuine trading profits can be income, and the residence and source rules differ.
  • Exchanges report. International crypto reporting rules mean platforms collect your tax residence and share it with tax authorities. Moving wallets is not a way to go quiet, and nobody sensible tries it.

When do you need VARA, and when don’t you?

The Virtual Assets Regulatory Authority (VARA) regulates virtual asset activity across Dubai, excluding the DIFC, which sits under its own regulator. Abu Dhabi has a separate regime through ADGM, and federal bodies have a role too. That is one reason emirate choice matters here, as it does in our Dubai vs Abu Dhabi vs RAK comparison.

The dividing line is who you serve.

What you are doingVARA licence?Typical structure
Holding and trading your own crypto personallyNoNo company needed; residency and tax position matter most
Trading or holding through your own companyGenerally noFree zone or mainland company, trade licence suitable to the activity
Advising, brokering, custody, exchange or managing assets for othersYes, for the relevant activityLicensed entity, with substance, compliance function and capital
Building software or a protocol without handling client assetsDepends on the modelCase-by-case; token issuance and marketing can bring it in scope

A VARA licence is a regulatory process, not a formation add-on. It looks at your people, your compliance set-up, your controls and your business plan, and it takes considerably longer than getting a trade licence. We will not pretend otherwise.

What are the common mistakes?

Founders often incorporate first and ask about regulation later, then discover the licence activity they chose does not match what they actually do. Others assume a UAE company shields them from UK rules, when serving UK customers can bring UK financial promotion and registration rules into play regardless of where you sit.

Banking is the other pinch point. Crypto-linked businesses face tougher onboarding, so read why UAE bank accounts get rejected and the AML rules for company owners before you apply anywhere.

On tax, the UAE company pays 9% corporate tax unless it qualifies for a free zone 0% rate, and crypto activity does not automatically qualify. See who actually pays the 9%. If the company is run from the UK, central management and control can leave it UK resident.

Where this gets personal

Your answer depends on your UK days, how long you intend to stay away, what you hold, whether it is gains or income, and whether you serve anyone else. If you want one UK Dubai crypto tax advisor looking at both the HMRC exit and the Dubai structure together, that is what our UK and UAE tax service is built for.

Questions people ask

Do I need a VARA licence for a crypto company setup in Dubai?

Only if the company carries out a regulated virtual asset activity for other people, such as custody, brokerage, exchange, advisory or managing assets for clients. A company that trades or holds its own crypto generally does not need one, though it still needs a proper trade licence. The regulator's activity list and the facts of your business decide it, so get it checked before you incorporate.

Do I pay UK capital gains tax on crypto if I move to Dubai?

Not on disposals made while you are non-resident under the Statutory Residence Test, because crypto is not UK land. The exception is temporary non-residence: if you return within five years, gains on assets you held before leaving and sold while away can be taxed in the year you come back. Gains realised before your departure date are taxed in the normal way.

Can I keep a UK crypto company and run it from Dubai?

Yes, but the company can stay UK tax resident if it is managed and controlled from the UK, and it can have a UK taxable presence if the activity continues there. Moving the decision-making to Dubai has to be real, not a change of paperwork. Many founders end up with a UAE company for the new activity and a clean wind-down or sale of the UK one.

Do I need a UK Dubai crypto tax advisor, or just a Dubai formation agent?

You need both sides covered. A formation agent can incorporate and handle licensing, but the UK exit (residence, timing of disposals, the five-year rule, the treatment of tokens and staking income) is a HMRC question that most local agents have never dealt with. One adviser who sees both sides stops the two halves contradicting each other.

Is crypto income taxed differently from crypto gains when I leave the UK?

Yes. Selling or swapping tokens is a capital gains matter. Staking rewards, mining, airdrops and trading profits can be income, and income is taxed by reference to residence and source. How HMRC treats your activity depends on how often, how systematically and with what intention you trade.

Where this gets specific to you: the right structure, freezone and licence depend on your activity, where your customers are and your visa needs. A short conversation pins down what actually fits, before you commit to anything.
